PROCEDURE

All three products are transacted on CIF terms only. The sequence below is the full procedure from ICPO to payment — ten clauses, with the partial and full POP document sets released at clauses 4 and 7.

Buyer accepts the soft offer and the Seller's procedure, and issues an official full ICPO addressed to the end seller.

Seller issues the draft Sales and Purchase Agreement to the Buyer. Buyer returns the signed contract to the Seller.

Seller reviews the signed contract, acknowledges it and legalises it through the Ministry of Energy. The cost of legalisation is borne by the Seller.

The notarised partial POP documents listed below, issued by the Kazakhstan Ministry of Energy Department, are released for Buyer confirmation.

Seller releases the above-listed partial POP documents to the Buyer.

Buyer issues bank instrument DLC MT700 / SBLC MT760 within 7 working days to the Seller's fiduciary bank account after receiving POP.

If the Buyer fails to issue the DLC/SBLC within 7 working days, the Buyer may instead place a guarantee deposit of 1% of the total contract value with the Seller to secure the allocation, which is deducted from the first shipment.

Within 24 hours of instrument confirmation, the Seller signs the CPA and releases the full POP documents and the 2% PB to the Buyer's bank.

Shipment commences per the signed contract delivery schedule, and arrives at the Buyer's discharge port within 21 to 28 days.

SGS inspection is borne by the Seller at the loading seaport and by the Buyer at the unloading seaport. The Buyer releases payment to the Seller by TT / MT103 upon receipt of the shipping documents and confirmation of Q&Q by SGS or CIQ at the destination port, within 3 banking days.

The Seller pays commission to all intermediaries within 2 to 4 days of receiving payment from the Buyer.
